Terms of Service

These Terms of Service ("Terms") govern your access to and use of the SpendLens website at spendlens.us and the SpendLens platform at app.spendlens.us (collectively, the "Services"), operated by CyberWerk Ventures LLP, trading as SpendLens ("we", "us", or "our"). By accessing or using our Services, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and have the authority to enter into these Terms on behalf of your organisation. By using the Services, you represent and warrant that you meet these requirements.

2. Services Description

CyberWerk Ventures LLP provides technology spend optimisation services combining AI-powered analysis and expert procurement professionals. Our services include:

  • Analysis of your existing vendor contracts and technology spend
  • Benchmarking against current market rates
  • Negotiation support and vendor engagement on your behalf
  • Ongoing monitoring and optimisation recommendations via the SpendLens platform

3. Engagement & Fees

CyberWerk Ventures LLP operates on a performance-based model:

  • No upfront fees — there are no retainers or setup costs
  • Performance fee — we charge 30% of verified, documented savings delivered during the engagement
  • Guaranteed savings — if we do not deliver savings, you owe us nothing

Specific commercial terms, measurement methodology, and payment schedules are set out in your individual Service Agreement, which supplements these Terms.

4. Client Obligations

To enable us to deliver the Services effectively, you agree to:

  • Provide accurate and complete information about your technology contracts and spend
  • Grant us appropriate authority to engage with vendors on your behalf where required
  • Respond to reasonable requests for information or approvals in a timely manner
  • Not circumvent negotiations by directly engaging vendors on items we are actively working on without notifying us

5. Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party in connection with the Services. This includes your vendor contracts, spend data, and pricing information, as well as our methodologies, pricing, and AI systems. Confidentiality obligations survive termination of these Terms for a period of five (5) years.

6. Data & Security

Your use of the Services is also governed by our Privacy Policy. We implement industry-standard security measures to protect your data. You retain ownership of all data you provide to us. We will not sell, share, or use your spend data for purposes other than delivering the Services.

7. Intellectual Property

All content, technology, and materials on our website and platform — including our AI models, benchmarking databases, and negotiation frameworks — are owned by or licensed to CyberWerk Ventures LLP and are protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

8. Prohibited Use

You agree not to:

  • Use the Services for any unlawful purpose
  • Attempt to reverse-engineer or extract data from our AI systems or databases
  • Share access credentials with unauthorised third parties
  • Interfere with or disrupt the integrity or performance of the platform
  • Use the Services to compete with SpendLens or build a competing product

9. Disclaimers

The Services are provided on an "as is" basis. While we guarantee our performance-based model (pay only on savings), we do not guarantee any specific outcome or saving amount prior to conducting our analysis. Results vary based on your current vendor contracts, spend volumes, and market conditions.

10. Limitation of Liability

To the maximum extent permitted by applicable law, CyberWerk Ventures LLP shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services. Our total aggregate liability for any claims arising under these Terms shall not exceed the total fees paid by you to CyberWerk Ventures LLP in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless CyberWerk Ventures LLP and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms or your use of the Services.

12. Term & Termination

These Terms remain in effect for the duration of your use of the Services. Either party may terminate by providing 30 days' written notice. Upon termination, any outstanding performance fees for savings already delivered remain payable. Clauses 5 (Confidentiality), 7 (Intellectual Property), 10 (Limitation of Liability), and 11 (Indemnification) survive termination.

13. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where local mandatory consumer protection laws require otherwise.

14. Changes to These Terms

We may update these Terms from time to time. We will provide reasonable notice of material changes. Your continued use of the Services after the effective date of any changes constitutes acceptance of the updated Terms.
